Representative Experience

• Represented a publicly-held operator of high-end health and fitness clubs in selling selected clubs that operated primarily in the East to one of the operator’s shareholders for $80 million. As part of the sale, we also represented the company in refinancing $50 million of real estate-secured debt.
• Represented The Sports Club/LA in a series of credit facilities, totaling approximately $80 million, connected to the refinancing of its heath clubs in Southern California.
• Represented Awareness Corp., a multilevel marketing dietary supplement company, in a case against former distributors for copyright infringement, trade secret misappropriation, intentional interference with contractual relations, and related claims. Obtained a preliminary injunction against the distributors as well as partial summary judgment. After three years of litigation and two mediations, case settled favorably.
